The German Stock Corporation Act (AktG) requires stock corporations to have Articles of Association (charter). Pursuant to § 179, Section 1 of AktG, any amendment to the Articles of Association requires authorisation by the Annual General Meeting. However, in accordance with § 21 of the Articles of Association, the Supervisory Board is authorised to make amendments to the Articles of Association that only concern the wording of the articles.
